Terms of Service
Effective October 13, 2026
These Terms of Service (“Terms”) are an agreement between Hyperspace Inc. (“Hyperspace,” “we,” “us”) and the business that signs up for ServiceStellar (“Shop,” “you”). They govern use of the ServiceStellar application, website and related messaging (the “Service”). By creating an account or using the Service, you agree to these Terms on behalf of your business, and you confirm that you have authority to do so.
If you only visit our website, sections 9 (Website and intellectual property), 13 (Disclaimers), 14 (Limitation of liability) and 16 (General) apply to you. If you receive text messages from a Shop through ServiceStellar, section 17 (SMS Messaging Terms) applies to you.
1. The Service
ServiceStellar is software for managing in-store repairs, field service and equipment rentals. The work areas available to you depend on your plan and are switched on for your account by ServiceStellar staff.
2. Accounts and approval
- New Shops can sign up at any time, but you can sign in only after we approve your account. We may decline or delay any application.
- Each sign-in requires a password and a one-time code sent to the user’s email address. Keep passwords and codes confidential and don’t share accounts.
- You are responsible for your users, what they do in the Service, and keeping your account details accurate. Tell us promptly at [email protected] if you suspect unauthorized access.
3. Your data and your customers
- You own the data you and your users put into the Service (“Shop Data”), including your customers’ information. You grant us permission to host, process and transmit Shop Data only as needed to provide and support the Service, as described in our Privacy Policy.
- You are responsible for your relationship with your customers, including giving any required privacy notices, getting any required consents, and responding to their requests. We will help you respond to requests about data held in the Service.
- Don’t put sensitive information into the Service that it isn’t designed for, such as payment card numbers, government ID numbers or health information.
4. Text messages and email
- ServiceStellar sends customer emails and, where enabled, text messages in your Shop’s name about your customers’ own repairs, appointments, jobs and rentals.
- You may send text messages only to customers who have given you their consent, and you must record that consent accurately in the Service. Consent must not be pre-selected and must not be a condition of doing business with you.
- You may not use the Service to send marketing or promotional messages. Messages must follow our SMS Terms, carrier rules and applicable law, including the US Telephone Consumer Protection Act and Canada’s Anti-Spam Legislation (CASL).
- Opt-outs (such as STOP replies) are applied automatically and must be honored. We may suspend messaging for any account that creates a compliance risk.
- The terms that apply to people who receive these text messages are in section 17 (SMS Messaging Terms).
5. Fees and payment
- Subscription fees are set out on our Pricing page or in your order, are billed monthly in advance, and are in US dollars unless we agree otherwise in writing.
- Fees don’t include taxes. You are responsible for applicable sales, use, GST/HST and similar taxes.
- We may change fees with at least 30 days’ notice. Changes take effect at the start of your next billing period.
- Fees are non-refundable except where required by law or stated in writing.
6. Payments from your customers
Payments from your customers are taken in your own point-of-sale or payment system. ServiceStellar records payment amounts and references for your convenience; it does not process card payments, move money or hold funds, and it is not a payment processor.
7. Integrations and third-party services
The Service may connect to third-party products you use, such as NetSuite or Lightspeed X-Series. Your use of those products is governed by your agreements with their providers. We are not responsible for third-party products, and an integration may change or stop working if the third party changes its service.
8. Acceptable use
You won’t, and won’t let anyone else:
- use the Service in violation of law or the rights of others;
- send spam, marketing texts, or messages to people who haven’t consented;
- try to access another Shop’s data or bypass security or usage limits;
- upload malware, or interfere with or overload the Service;
- copy, resell or reverse engineer the Service, except as the law allows.
9. Website and intellectual property
We own the Service, the website and all related software, content and trademarks, including the ServiceStellar name and star mark. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.
10. Availability and changes
We work to keep the Service available and secure, but it may sometimes be unavailable for maintenance or for reasons outside our control. We may improve or change the Service over time. If a change materially reduces core features you pay for, we will give you reasonable notice.
11. Term, suspension and termination
- Your subscription runs month to month until you or we cancel it. You can cancel at any time, effective at the end of the current billing period.
- We may suspend or end your access if you materially breach these Terms, don’t pay, or create a security or legal risk. Where practical, we will give notice first.
- For 30 days after your account ends, you can ask us for an export of your Shop Data. After that, we may delete it as described in our Privacy Policy.
12. Confidentiality
Each of us will protect the other’s non-public information with reasonable care and use it only to carry out these Terms.
13. Disclaimers
Except as expressly stated in these Terms, the Service and website are provided “as is” and “as available,” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. We do not guarantee that messages will be delivered; carriers are not liable for delayed or undelivered messages.
14. Limitation of liability
To the extent the law allows: neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and each party’s total liability arising out of these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits don’t apply to your payment obligations or to your obligations under section 15.
15. Indemnity
You will defend and indemnify Hyperspace against third-party claims arising from your Shop Data, your messages to your customers, or your breach of these Terms or applicable law.
16. General
- Governing law: these Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The state and federal courts in Los Angeles County, California have exclusive jurisdiction, unless the law where you are located requires otherwise.
- Changes to these Terms: we may update these Terms. We will post the new version here and notify Shops of material changes at least 30 days before they take effect. Continued use after that means you accept the changes.
- Entire agreement: these Terms, your order and our Privacy Policy are the entire agreement between us about the Service. If any part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent, except with a sale of your business.
- Notices: we may send notices to your account’s email address. Send notices to us at the address below.
